Introduction - Your Agreement to These Terms
THESE TERMS OF SERVICE CONSTITUTE A BINDING CONTRACT. PLEASE READ THEM COMPLETELY
AND CAREFULLY.
Welcome to the Meimei mobile application, website, and related services (collectively “Meimei”). These
Terms of Service (“Terms”)—as may be amended from time to time—govern your use of Meimei and all its
derivatives, including but not limited to live-streaming, chat, and virtual item services (collectively
“Meimei Services”).
By accepting these Terms (whether by using Meimei Services, creating an account, or clicking “Agree”),
you confirm two key points:
- 1. You are at least 18 years old. Meimei and its Services are not intended for anyone under this
age.
- 2. You have the legal capacity to enter into this contract and will comply with all terms herein.
These Terms incorporate our Privacy Policy (available at [Meimei Privacy Policy]). If you do not accept these
Terms or the Privacy Policy, you may not access or use Meimei Services.
Meimei (referred to as “Company,” “we,” “us,” or “our”) is committed to protecting your personal
information as outlined in the Privacy Policy. For questions about the Privacy Policy, contact us at sandrayunne@gmail.com.
In the event of inconsistency between the English version of these Terms and any other language version,
the English version shall prevail.
1. Privacy Policy
Meimei values your privacy. To understand how we collect, use, disclose, and protect your personal
information (e.g., account details, usage data), please review our full Privacy Policy at [Insert Meimei
Privacy Policy URL]. Your use of Meimei Services signifies your agreement to the practices
described therein.
2. Description of Meimei Services
Meimei is a live-video social and entertainment platform that enables:
- Real-time viewing of live performances, chats, and activities by registered broadcasters
(“Broadcasters”).
- Interaction with Broadcasters and other users (e.g., sending messages, virtual gifts).
- Purchase and use of virtual items (e.g., virtual currency, gifts) as outlined in Section 8.
We reserve the right, in our sole discretion, to modify, add, or remove features/functions of Meimei
Services at any time (e.g., updating virtual item types, adding new chat tools) without prior notice.
3. Account and Registration
To access core Meimei Services (e.g., interacting with Broadcasters, sending gifts), you must create a
Meimei Account (“Account”).
3.1 Account Creation Requirements
When registering, you will provide:
- A unique account name, secure password, and valid mobile phone number (for verification).
- Optionally, you may register using third-party accounts (e.g., Facebook®, Google®)—see Section 3.2.
You agree to:
- Provide true, accurate, and complete information (update it promptly if it changes).
- Keep your password confidential and secure. You are solely responsible for all activities under your
Account (e.g., purchases, messages sent).
- Not share your Account, transfer it to others, or allow unauthorized access.
3.2 Third-Party Accounts
If you log in via a third-party service (e.g., Facebook), Meimei may access basic profile information from that
service (e.g., your name, avatar) to set up and support your Account. You also acknowledge that Meimei
may share information about your use of Meimei Services with that third party (e.g., “User X watched a
live stream on Meimei”) as permitted by the third party’s terms.
3.3 Account Security
Meimei may use technical measures (e.g., IP logging, device recognition) to prevent unauthorized Account
use. Any action taken under your Account (e.g., purchasing virtual items) will be presumed to be
authorized by you. If you suspect Account theft or misuse, contact us immediately at sandrayunne@gmail.com.
4. Devices and Internet Connections
You are solely responsible for:
- Providing and maintaining the device (e.g., smartphone, computer) needed to access Meimei Services.
- All costs related to internet/mobile data access (e.g., cellular data fees, Wi-Fi charges) incurred
while using Meimei Services.
Meimei is not liable for service interruptions caused by your device, internet provider, or poor
connectivity.
5. Broadcasters Agreement
Any registered Meimei user may apply to become a Broadcaster, but only if they agree to the Meimei
Broadcasters Agreement (available at [Insert Broadcasters Agreement URL]). This Agreement is incorporated
into these Terms and outlines rules for Broadcasters (e.g., content standards, revenue sharing for
virtual gifts).
Meimei reserves the right to approve or reject Broadcaster applications at its sole discretion.
6. Refund Policy
6.1 Virtual Currency (e.g., “Meimei Coins”)
Purchasing virtual currency (e.g., Meimei Coins) is a limited license to use virtual items within Meimei
Services—not a purchase of real currency or stored value.
- A virtual currency purchase is complete only when you receive confirmation (via Meimei or your
payment provider, e.g., Apple App Store, Google Play).
- Refunds are only available for unused, verifiable purchases (e.g., you can provide a receipt from Apple/Google) and
are granted at Meimei’s sole discretion.
- No refunds will be issued for virtual currency or items if your Account is suspended, limited, or
terminated (see Section 15).
6.2 Other Purchases
For purchases from Broadcaster Virtual Stores (see Section 9), no refunds are available under any
circumstances.
7. Interaction with Broadcasters
7.1 Content Recording and License
By interacting with Broadcasters (e.g., sending messages, appearing in a live stream), you acknowledge
that Meimei may record the live stream and your interaction (“Content”). You grant Meimei a perpetual,
worldwide, non-exclusive, royalty-free, sub-licenseable, transferable license to:
- Use, reproduce, distribute, and display this Content (e.g., for promoting Meimei Services, replaying
live streams).
- Create derivative works (e.g., editing a clip of the live stream for marketing).
This license applies to Meimei, its successors, affiliates, and licensees, and covers all media formats
(now known or future).
7.2 Acceptable Behavior
You agree that all content you submit (e.g., messages, images, comments) during interactions with
Broadcasters will NOT be:
- Defamatory, abusive, obscene, pornographic, or harassing.
- Encouraging of criminal activity, civil liability, or violation of local/state/federal/international
law.
- Infringing of others’ copyrights, trademarks, or privacy rights.
- False, misleading, or otherwise inappropriate (e.g., spam, hate speech).
Meimei may remove violating content and take action against your Account (see Section 15) without notice.
8. Virtual Items (Gifts, Currency, etc.)
8.1 Types of Virtual Items
Meimei offers three main types of virtual items:
- Virtual Currency (e.g., Meimei Coins): Purchased with real money to buy other virtual items.
- Virtual Gifts (e.g., “Flowers,” “Crowns”): Bought with virtual currency and sent to Broadcasters.
- Virtual Diamonds: Converted from gifts received by Broadcasters (used for revenue redemption, per
the Broadcasters Agreement).
Collectively, these are referred to as “Virtual Items.”
8.2 Key Rules for Virtual Items
- You do NOT “own” Virtual Items—you have a limited license to use them within Meimei Services.
- Virtual Items cannot be sold, traded, or redeemed for real money, goods, or services (by you or any
third party).
- Once you send a Virtual Gift to a Broadcaster or transfer Virtual Items to another user, the action
is irreversible (no refunds or cancellations).
- Meimei sets the exchange rate for Virtual Items (e.g., $1 = 10 Meimei Coins) and may modify it at
any time (with or without notice).
8.3 Fraud and Inactivity
- Fraudulent Acquisition: Any Virtual Items obtained illegally (e.g., stolen credit cards, hacks) will
be permanently confiscated. Your Account may be suspended or terminated (see Section 15).
- Account Inactivity: If your Account is inactive for 6 consecutive months, all Virtual Items may be
frozen. To unfreeze them, email sandrayunne@gmail.com—we
will review your request and respond within 3 business days.
9. Copyright Infringement Policy
Meimei complies with the Digital Millennium Copyright Act (DMCA) and protects copyright holders’ rights.
9.1 Reporting Infringement
If you believe Meimei Services contain content that infringes your copyright, submit a written notice to
our Designated Agent (via email at sandrayunne@gmail.com)
with:
- Your physical/electronic signature (proving you are authorized to act for the copyright owner).
- Identification of the infringed work (e.g., “My song ‘X’”).
- Identification of the infringing content (e.g., “Live stream by Broadcaster Y on [date]”).
- Your contact information (address, phone number, email).
- A statement that you have a good faith belief the use is unauthorized by the copyright owner, agent,
or law.
- A statement (under penalty of perjury) that the above information is accurate.
9.2 Counter-Notification
If your content is removed due to a copyright claim, you may submit a counter-notice (to sandrayunne@gmail.com) with:
- Your physical/electronic signature.
- Identification of the removed content and its original location.
- A statement (under penalty of perjury) that the removal was a mistake or misidentification.
- Your contact information and consent to jurisdiction in [Insert Jurisdiction, e.g., Cook County,
Illinois].
Meimei will review valid counter-notices and may restore the content if the original claimant does not
take legal action within 10–14 days.
10. Trademark
“Meimei,” Meimei logos, and all service/product names associated with Meimei (e.g., “Meimei Coins”) are
trademarks of Meimei. You may not use these trademarks:
- In connection with non-Meimei products/services.
- In a way that causes confusion (e.g., pretending to be Meimei).
- To disparage or discredit Meimei.
Third-party trademarks referenced in Meimei Services (e.g., Facebook, Google) belong to their respective owners. Meimei’s
reference to them does not imply endorsement.
11. Prohibited Conduct
By using Meimei Services, you agree NOT to:
- Upload, transmit, or store content that is illegal, infringing, defamatory, obscene, or harassing
(see Section 7.2 for details).
- Impersonate others (e.g., pretending to be a Meimei employee, another user) or access accounts
without permission.
- Send spam or unsolicited messages (e.g., bulk ads, pyramid schemes) to other users.
- Collect other users’ personal information (e.g., email addresses, phone numbers) without consent.
- Tamper with Meimei’s security features (e.g., bypassing age verification) or reverse-engineer
Meimei’s software.
- Disrupt Meimei Services (e.g., uploading viruses, using bots to spam live streams) or overload
servers.
- Use Meimei for illegal purposes (e.g., money laundering, promoting violence).
Meimei may investigate violations and take action (e.g., Account suspension) as outlined in Section 15.
12. Disclaimer of Warranties
Meimei Services are provided on an “AS IS” and “AS AVAILABLE” basis—we make no warranties, express or
implied, including:
- Warranties of accuracy, reliability, or completeness of content (e.g., Broadcasters’ live streams).
- Warranties that Meimei Services will be error-free, secure, or uninterrupted.
- Warranties of merchantability or fitness for a particular purpose (e.g., “Meimei will work on all
devices”).
You use Meimei Services at your own risk. Meimei is not liable for:
- Errors or omissions in content.
- Device damage or data loss caused by Meimei Services.
- Interruptions due to technical issues (e.g., server outages).
13. Limitation of Liability
To the fullest extent permitted by law:
- Meimei and its affiliates, officers, employees, and agents (collectively “Meimei Parties”) will NOT
be liable for indirect, special, punitive, or consequential damages (e.g., lost profits, emotional
distress) arising from your use of Meimei Services.
- The total liability of Meimei Parties for any claim related to Meimei Services will not exceed the
greater of: $100 USD, or the amount you paid Meimei in the past 6 months (e.g., $50 for virtual
currency).
This limitation applies regardless of the legal theory (e.g., contract, negligence) and even if Meimei
was advised of the possibility of such damages.
14. Indemnification
You agree to indemnify and hold harmless Meimei Parties from any claims, damages, costs, or expenses
(including attorney’s fees) arising from:
- Your use or misuse of Meimei Services (e.g., violating Section 12).
- Your breach of these Terms or the Privacy Policy.
- Your infringement of others’ rights (e.g., copyright, privacy).
- Content you submit to Meimei (e.g., a defamatory comment that leads to a lawsuit).
This obligation survives the termination of these Terms and your use of Meimei Services.
15. Termination
15.1 Term of These Terms
These Terms begin when you first use Meimei Services and continue until terminated by you or Meimei.
15.2 Termination by Meimei
We may restrict, suspend, or terminate your Account and access to Meimei Services without prior notice
if:
- You breach these Terms (e.g., violating Section 12, fraudulent Virtual Item purchases).
- You violate others’ rights (e.g., copyright infringement).
- We determine your Account is inactive or used for illegal purposes.
We may also terminate these Terms for any other reason by giving you 10 days’ notice (via email to your
Account’s registered address).
15.3 Termination by You
You may terminate these Terms at any time by:
- Deleting your Account (via Meimei’s “Settings” > “Delete Account”).
- Uninstalling the Meimei app and ceasing all use of Meimei Services.
15.4 Effects of Termination
Upon termination:
- Your right to use Meimei Services ends immediately.
- All Virtual Items in your Account may be confiscated (no refunds).
- Meimei may retain your data as required by law (e.g., for tax purposes) or as outlined in the
Privacy Policy.
16. Alternative Dispute Resolution
Any dispute arising from these Terms or your use of Meimei Services will be resolved through binding
arbitration (not litigation), conducted:
- In [Insert Jurisdiction, e.g., Cook County, Illinois] or a mutually agreed location.
- Under the rules of [Insert Arbitration Body, e.g., American Arbitration Association].
The arbitrator will issue a written decision based on the merits. The prevailing party will be entitled
to recover costs and attorney’s fees from the other party.
You waive your right to a jury trial or class action lawsuit related to any dispute with Meimei.
17. Amendments
Meimei may modify these Terms at any time (e.g., updating virtual item rules). We will:
- Post the revised Terms on Meimei’s website and app (with the “Last Updated” date).
- Attempt to notify you of major changes (e.g., via email or in-app message).
Your continued use of Meimei Services after the revised Terms take effect signifies your acceptance of
the changes. It is your responsibility to review these Terms periodically.
18. Miscellaneous
- Entire Agreement: These Terms (including the Privacy Policy and Broadcasters Agreement) constitute the entire agreement between
you and Meimei, superseding all prior oral/written agreements.
- Assignment: You may not assign these Terms or your rights hereunder without
Meimei’s prior written consent. Meimei may assign these Terms to any third party without notice.
- Force Majeure: Meimei is not liable for failing to perform its obligations due to
circumstances beyond its reasonable control (e.g., natural disasters, war, government bans).
- Governing Law: These Terms will be governed by and construed in accordance with the
laws of [Insert Jurisdiction, e.g., the State of Illinois, USA], excluding conflict of law rules.
- Severability: If any provision of these Terms is invalid or unenforceable, the
remaining provisions will remain in full force and effect.
